Agreements of Tie-up Services

Terms and conditions governing partnerships with QuickZaps for service providers, merchants, and distributors.

1. Introduction

This document outlines the general terms and conditions applicable to all tie-up service agreements entered into between QuickZaps Business Solution Private Limited ("QuickZaps", "Company") and its service partners, merchants, distributors, and third-party providers (collectively, "Partners"). These terms supplement any specific agreements executed between QuickZaps and individual Partners.

2. Scope of Partnership

Partners engaged with QuickZaps may provide or facilitate one or more of the following service categories through the QuickZaps platform:

  • Utility bill payment processing (via BBPS)
  • Mobile and DTH recharge services
  • Travel booking and ticketing services
  • Insurance product distribution
  • Cash deposit and withdrawal services
  • Technology and API integration services
  • Banking correspondence and payment facilitation

The specific scope of each partnership is defined in the individual service agreement executed between the parties.

3. Partner Obligations

All Partners agree to:

  • Comply with all applicable laws, regulations, and QuickZaps policies
  • Maintain necessary licenses, certifications, and regulatory approvals
  • Provide services in a timely, professional, and reliable manner
  • Maintain adequate technical infrastructure and uptime commitments
  • Cooperate with QuickZaps on KYC, AML, and fraud prevention measures
  • Report any security incidents, breaches, or service disruptions promptly
  • Not engage in any activity that may damage QuickZaps' reputation or business interests

4. QuickZaps Obligations

QuickZaps agrees to:

  • Provide access to the QuickZaps platform and necessary integration support
  • Process settlements and commissions as per agreed timelines and structures
  • Maintain platform security and data protection standards
  • Provide training, onboarding support, and documentation as needed
  • Communicate policy changes, system updates, and service advisories in a timely manner

5. Revenue Sharing & Commissions

Commission structures, revenue sharing models, and settlement terms are defined in individual service agreements. QuickZaps reserves the right to revise commission structures with prior notice to Partners. Disputes regarding commissions or settlements shall be resolved through the dispute resolution mechanism outlined in the applicable agreement.

6. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary information, business data, customer data, and technical details shared during the course of the partnership. This obligation survives the termination of the agreement. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.

7. Data Protection & Privacy

Partners must handle all personal and transactional data in accordance with QuickZaps' Privacy Policy and applicable data protection laws. Partners shall not use customer data for any purpose other than service delivery as agreed. Any data breach or unauthorized access must be reported to QuickZaps within 24 hours of discovery.

8. Service Level Agreements (SLAs)

Where applicable, Partners agree to meet the service level commitments defined in their individual agreements, including uptime guarantees, response times, transaction success rates, and dispute resolution timelines. Failure to meet SLAs may result in penalties, commission adjustments, or termination of the partnership.

9. Intellectual Property

All intellectual property, including trademarks, logos, software, APIs, and content, remains the property of the respective party. Partners are granted a limited, non-transferable license to use QuickZaps branding solely for the purpose of the agreed services. Unauthorized use of QuickZaps intellectual property is strictly prohibited.

10. Indemnification

Each party agrees to indemnify and hold harmless the other party from any claims, losses, damages, or liabilities arising from a breach of this agreement, negligence, or wilful misconduct. Partners shall indemnify QuickZaps against any losses resulting from service failures, regulatory violations, or fraudulent activities attributable to the Partner.

11. Termination

Either party may terminate the partnership agreement by providing written notice as per the terms of the individual agreement. QuickZaps reserves the right to immediately suspend or terminate a partnership if:

  • The Partner breaches any material term of the agreement
  • Fraudulent or illegal activity is detected
  • Regulatory requirements necessitate discontinuation
  • The Partner fails to maintain required licenses or certifications

Upon termination, all outstanding settlements shall be processed and confidentiality obligations shall continue.

12. Dispute Resolution

Any disputes arising from tie-up service agreements shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Noida/Gautam Buddh Nagar, Uttar Pradesh.

13. Governing Law

These terms and all tie-up service agreements are governed by the laws of India. Courts in Noida/Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction over any legal proceedings.

14. Amendments

QuickZaps reserves the right to amend these general terms. Partners will be notified of material changes, and continued use of the platform constitutes acceptance of the updated terms.
